LEGAL CLARITY
Last Updated: October 2026
Effective October 16, 2026. Review our operational standards, intellectual property governance, and advisory engagement terms with deliberate care.
These Master Terms establish the binding operational relationship between the Client and our advisory practice. By accessing our private consultation portal or commissioning bespoke advisory solutions, you acknowledge comprehensive agreement with these clauses. All deliverables, research documentation, and strategic roadmaps shall strictly align with the specifications formally articulated in an executed Statement of Work.
Each client initiative is governed by an individual Statement of Work detailing scope, milestones, and deliverable standards. Formal signature constitutes mutual operational consent.
All proprietary frameworks, methodologies, diagnostic toolsets, and architectural designs developed prior to or independently of this engagement remain our exclusive property. Upon full settlement of all corresponding invoices, the Client receives a non-exclusive, perpetual, worldwide commercial license to deploy specific commissioned final artifacts within their business enterprise.
You retain full commercial rights to commissioned outputs once fees are paid in full. Pre-existing systems and methodology toolkits remain our retained property.
The Client represents that all brand assets, text, photography, and technical specifications provided to our team are legitimately owned or comprehensively licensed. The Client shall defend, indemnify, and hold harmless our firm from any liabilities, claims, or regulatory sanctions resulting from infringing or unlawful materials supplied on behalf of the Client.
All documentation and media submitted to our practice must be owned or validly licensed. You hold our advisory team harmless against third-party copyright or trademark claims.
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages. In no circumstance shall our cumulative liability exceed the total compensation remitted by the Client within the twelve calendar months preceding the incident. These Terms are interpreted under the laws of the State of Delaware, with exclusive venue in its chancery courts.
Total liability is strictly limited to advisory fees paid during the preceding twelve months. Delaware law governs all resolution proceedings without jury trial rights.
